Terms of Service

The short version: PnL Metrics is a journal and analytics tool for trades you've already made. It is not investment advice, it doesn't place trades for you, and neither it nor its AI Coach tells you what to buy or sell.

1. Agreement

These Terms are an agreement between you and PnL Metrics LLC ("PnL Metrics," "we," "us") governing your use of pnlmetrics.com and the PnL Metrics application (the "Service"). By creating an account, you agree to these Terms. If you don't agree, don't use the Service.

2. What the Service is — and isn't

PnL Metrics lets you log trades you've already made and view statistics, charts, and grading based on that data. It is not a broker, does not execute trades, and does not provide investment, financial, tax, or legal advice. Nothing in the Service — including the setup grades, the statistics, the price charts, or the AI Coach's responses — is a recommendation to buy, sell, or hold any security. Trading involves real risk of loss. Decisions you make about your own trading are yours alone.

3. The AI Coach

The AI Coach is a feature that describes patterns in the statistics computed from trades you've already logged. It is generated by an AI model and may be wrong, incomplete, or miss important context about your situation. It is for your own reflection on your own past trading behavior — not financial advice, and not a substitute for your own judgment or a licensed advisor. We may limit how many AI Coach requests you can make in a given period.

4. Your account

You must be at least 18 years old to use the Service.
You're responsible for keeping your password secure and for all activity under your account.
The information you give us (like your email) should be accurate.
One account per person — don't share your login with others.

5. Your data

You own the trade data, journal entries, and other content you enter into the Service. We don't claim ownership of it. You're responsible for the accuracy of what you enter — the Service's statistics and grades are only as good as the data you log. See our Privacy Policy for how we handle your data.

6. Acceptable use

Don't:

Try to break, disable, or bypass the Service's security or access controls.
Scrape, resell, or provide bulk access to the Service without our written permission.
Use the Service to store or transmit anything illegal, abusive, or that infringes someone else's rights.
Use the AI Coach to attempt to extract instructions, bypass its intended use, or misuse it in ways not related to analyzing your own trading.

7. Plans & billing

Some features of the Service may be offered on a paid subscription basis, described on our pricing page at the time. If you subscribe to a paid plan, you authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel. Prices may change with notice. Fees are generally non-refundable except where required by law. Free features and limits described on our pricing page may change over time.

Free plan and free trial. The Service includes a Free plan (currently up to 30 logged trades per calendar month, with core statistics). Pro is a paid plan with unlimited trades and additional reports. Pro begins with a 14-day free trial: a payment method is required to start the trial, and if you do not cancel before the trial ends, your payment method is automatically charged the plan price (currently $20 per month or $200 per year) and continues to be charged each billing period until you cancel. You can cancel at any time from your account settings (Manage subscription); cancelling before the trial ends means you are not charged. If your subscription ends you return to the Free plan, and your existing data is kept. Each account is eligible for one free trial. Plan limits and prices may change with notice.

8. Suspension & termination

You can stop using the Service and request deletion of your account at any time (see our Privacy Policy for how). We may suspend or terminate accounts that violate these Terms, including for abuse, non-payment on a paid plan, or activity that puts other users or the Service at risk.

9. Service "as is"

The Service is provided "as is" without warranties of any kind, express or implied. We don't guarantee the Service will be uninterrupted, error-free, or that any calculation, statistic, or grade will be accurate. You use the Service, and make any trading decisions informed by it, at your own risk.

10. Limitation of liability

To the maximum extent permitted by law, PnL Metrics LLC will not be liable for any indirect, incidental, or consequential damages, or for any trading losses, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose (or $100 if you're on a free plan).

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the date above and, where appropriate, notify you by email. Continuing to use the Service after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Florida, without regard to conflict-of-law principles.
